OFFPLAN NETWORK LLC
PLATFORM TERMS OF SERVICE
Effective Date: September 1, 2026 | Version 1.0
IMPORTANT: These Terms govern the OffPlan technology platform and non-clinical administrative services. They do not govern medical care, replace the OffPlan Care Medical Group Membership Agreement, or limit any healthcare provider’s responsibility for clinical services.
1. Acceptance of These Terms
These Platform Terms of Service (these “Terms”) are a binding agreement between you and OffPlan Network LLC (“OffPlan Network,” “OffPlan,” “we,” “us,” or “our”). They govern your access to and use of OffPlan’s websites, mobile or web applications, member portal, account tools, messaging features, scheduling and navigation tools, payment-interface functionality, content, and related technology and non-clinical administrative services (collectively, the “Platform”).
By creating an account, clicking to accept these Terms, or accessing or using the Platform, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not access or use the Platform. If you accept these Terms for another person, including a minor or dependent, you represent that you have legal authority to do so.
2. OffPlan’s Role and the Medical Group’s Separate Role
OffPlan Network is a management-services and technology company. It does not practice medicine, employ your treating clinicians, diagnose or treat medical conditions, prescribe medications, or make clinical decisions.
OffPlan Care Medical Group (the “Medical Group”) is the contracting healthcare provider under a separate membership agreement between you and the Medical Group (the “Membership Agreement”). The Medical Group arranges for covered clinical services to be furnished through appropriately licensed clinicians, which may include affiliated independent direct primary care practices and their professionals.
OffPlan Care Medical Group is the assumed name under which a licensed professional entity contracts with members in each state where memberships are offered. The professional entity that is party to your Membership Agreement is the one authorized to operate in your state of residence. In Florida, that entity is Primis Primary Care FL, P.A. The full legal name of the entity applicable to your membership is stated in your Membership Agreement and on your receipts.
Your Membership Agreement—not these Terms—governs the clinical membership, covered medical services, membership fee, renewal, cancellation, refunds, and the respective clinical rights and obligations of you and the Medical Group. If these Terms conflict with the Membership Agreement regarding medical care or the DPC membership, the Membership Agreement controls.
3. Not Health Insurance
THE MEDICAL GROUP MEMBERSHIP IS NOT HEALTH INSURANCE. IT IS NOT A HEALTH PLAN, A HEALTH MAINTENANCE ORGANIZATION, A DISCOUNT MEDICAL PLAN, A HEALTH CARE SHARING ARRANGEMENT, OR A SUBSTITUTE FOR ANY OF THEM.
Neither OffPlan Network nor the Medical Group is an insurer or a health plan. Neither entity assumes financial risk for, indemnifies you against, reimburses you for, or pays the cost of medical services furnished by any other provider. Neither entity adjudicates claims, determines coverage, applies a deductible or coinsurance, or maintains a provider network for the purpose of paying claims. The membership entitles you to the primary care services furnished directly by the Medical Group and its clinicians on the terms stated in your Membership Agreement, in exchange for a periodic fee paid to the Medical Group.
The membership does not cover hospitalization, emergency care, specialty care, surgery, prescription drugs, or other services outside the scope described in your Membership Agreement. You are encouraged to maintain separate health insurance or another arrangement covering those services. The membership does not satisfy an individual or employer health coverage requirement under federal or state law except to the extent a specific law provides otherwise.
The Platform does not sell, solicit, negotiate, or administer insurance. Any insurance product is offered separately by a licensed insurance agency under separate terms and disclosures. Enrollment in a membership is not conditioned on purchasing any insurance product, and purchasing an insurance product is not required to receive care.
4. No Medical Advice; Emergencies
Platform content and administrative communications are provided for general information and operational support. They are not medical advice and do not establish a clinician-patient relationship with OffPlan Network. A clinician-patient relationship, if established, is with the Medical Group and/or the treating clinician under applicable law and the Membership Agreement.
DO NOT USE THE PLATFORM FOR A MEDICAL EMERGENCY. IF YOU BELIEVE YOU MAY HAVE AN EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY DEPARTMENT. Platform messages may not be reviewed immediately and are not a substitute for emergency services.
5. Eligibility, Accounts, and Dependent Access
You must be at least 18 years old and legally capable of entering into a contract to create an account. A parent, guardian, or other legally authorized representative may create or manage access for a minor or dependent where permitted by law and by the Medical Group’s policies.
You agree to provide accurate, current, and complete information; keep your credentials confidential; use reasonable safeguards for your account; and promptly notify us at members@offplancare.com if you suspect unauthorized access. You are responsible for activity occurring through your account unless applicable law provides otherwise. We may require identity, eligibility, or authority verification.
Memberships are offered only in states where the Medical Group is authorized to operate and where clinicians licensed in your state are available. As of the effective date, that state is Florida. The Platform is intended for use in the United States. We do not represent that the Platform or the membership is available or appropriate for use in any other location, and you are responsible for compliance with local law if you access the Platform from elsewhere.
An account associated with a person under 18 must be established and controlled by a parent, guardian, or other legally authorized representative, who is responsible for that account and for the accuracy of information submitted through it. We do not knowingly collect information directly from a child under 13 through the Platform. A parent or representative’s right to access a minor’s health information is governed by applicable state and federal law and by the Medical Group’s policies and may change or end when the minor reaches the age of majority or consents to care independently under applicable law. If you believe a child under 13 has provided information to us directly, contact us at the address below and we will address it.
6. Permitted Use and Acceptable Conduct
We grant you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Platform for its intended purposes, subject to these Terms.
You may not:
- use the Platform unlawfully, fraudulently, or to harm, threaten, harass, impersonate, or exploit another person;
- attempt to gain unauthorized access to an account, system, network, data, or security control;
- introduce malware, interfere with Platform operation, conduct unauthorized vulnerability testing, or circumvent access or usage controls;
- scrape, crawl, harvest, copy, reverse engineer, decompile, disassemble, or create derivative works from the Platform except to the limited extent such restriction is prohibited by law;
- upload content that is unlawful, infringing, deceptive, defamatory, obscene, or that violates another person’s privacy or rights;
- use the Platform to provide services to another person commercially, resell access, or misrepresent an affiliation with OffPlan; or
- use bots, scrapers, crawlers, or other automated means to access the Platform in bulk, to circumvent rate limits or access controls, or to extract data at a scale or in a manner we have not authorized. This restriction does not apply to assistive technology used by a person with a disability, to accessibility features of your device or browser, or to your ordinary personal use of the Platform.
7. Communications and Messaging
The Platform may enable administrative and care-related communications among you, OffPlan Network, the Medical Group, and treating clinicians. Delivery and response times are not guaranteed. Messages may become part of an administrative or medical record depending on their content and recipient.
By providing your contact information, you agree that we, the Medical Group, and service providers acting on our respective behalf may send operational emails, text messages, push notifications, and telephone communications relating to account security, enrollment, appointments, membership administration, payments, and services you request. These are transactional and service communications and are part of administering your membership. Message and data rates may apply.
Consent to receive marketing or promotional text messages, and consent to receive prerecorded or autodialed marketing calls, is obtained separately at enrollment or in your account settings. It is not created by your acceptance of these Terms and is not a condition of purchasing a membership or receiving care. You may revoke that consent at any time by any reasonable method. We will honor a revocation across all marketing message categories within the period required by applicable law.
You may opt out of non-essential text messages by replying STOP and request help by replying HELP, where supported. Opting out may limit certain Platform features but will not by itself cancel your Medical Group membership. Membership cancellation must follow the Membership Agreement. Revoking consent to marketing messages does not stop transactional and care-related communications reasonably necessary to administer your membership and your care.
8. Scheduling, Navigation, and Third-Party Services
The Platform may assist with clinician selection, scheduling, records coordination, service navigation, or links to third-party resources. These functions are administrative. Appointment availability, clinical appropriateness, referrals, and treatment decisions remain the responsibility of the Medical Group and treating clinicians, as applicable.
Third-party websites, applications, laboratories, pharmacies, imaging centers, specialists, or other services may have separate terms and privacy practices. Unless expressly stated in the Membership Agreement, their services are not provided by OffPlan Network, and OffPlan Network is not responsible for their independent acts or omissions.
9. Membership Purchase Summary
This summary is provided for convenience and to make the commercial terms of the membership clear before you are charged. It does not replace your Membership Agreement, which contains the complete and controlling terms, or the Privacy Policy. If this summary and the Membership Agreement differ, the Membership Agreement controls.
- Seller. The membership is sold and furnished by the Medical Group. OffPlan Network is not the seller of the membership and does not provide medical care.
- What it is. A direct primary care membership. It is not health insurance. See Section 3.
- Price. The monthly membership fee for each enrolled adult and child member is set out in your Membership Agreement and shown at checkout before you pay. Each enrolled person is billed as a separate line item at that person’s own rate. There is no separate fee for use of the Platform.
- Billing. The membership fee is charged monthly in advance to the payment method you authorize, on a recurring basis, until you cancel.
- Term and renewal. The membership is month to month. There is no minimum term and no long-term commitment. It continues automatically each month unless you cancel.
- Cancellation. You may cancel at any time online through the member portal, which is the same channel used to enroll, or by contacting member support at billingsupport@offplancare.com or 888.650.2981. When cancellation takes effect is governed by your Membership Agreement.
- Refunds. Refunds, if any, are governed by your Membership Agreement.
- Statement descriptor. Charges appear on your card or bank statement as OFFPLAN CARE.
- Billing questions and disputes. Contact billingsupport@offplancare.com. or 888.650.2981 x-1. Please contact us before disputing a charge with your card issuer so we can review and resolve it directly.
- Where offered. Florida. Additional states will be listed here as they become available.
10. Membership Payments and Payment Facilitation
OffPlan Network provides the technical interface and administrative support through which you authorize and manage payments owed to the Medical Group. OffPlan Network acts in this capacity solely as an administrative service provider to the Medical Group. It is not the seller of the membership, is not the provider of medical care, and does not take title to or independently control your funds.
The Medical Group is the merchant of record for membership charges and is the named merchant or sub-merchant on the payment processing account through which those charges are submitted. Membership funds settle to an account held by or for the Medical Group. Any management or service fee payable to OffPlan Network is paid by the Medical Group under a separate agreement between those two parties. It is not a separate charge to you and is not deducted from your payment at the point of sale.
The amount, billing frequency, automatic renewal, cancellation rights, refund terms, and other payment obligations are governed by your Membership Agreement and the authorization presented at checkout. Nothing in these Terms creates a separate Platform subscription fee unless a separate charge is clearly disclosed and affirmatively accepted by you.
Payments may be processed by a third-party payment processor. You authorize the Medical Group and its service providers, including OffPlan Network and the processor, to store payment credentials through tokenization or similar safeguards and to process authorized recurring charges. We generally do not receive or store complete payment-card numbers. You must keep billing information current. A failed payment may affect Platform or membership access as described in the Membership Agreement and applicable law.
Questions about membership charges, cancellations, or refunds should be directed to billingsupport@offplancare.com / 888.650.2981 x-1. If you believe a charge is incorrect, please contact us before initiating a dispute with your card issuer so that we can review and resolve it directly. Cancelling Platform access alone does not cancel the Medical Group membership.
11. Privacy and Health Information
Our collection, use, and disclosure of personal information are described in the OffPlan Privacy Policy, available at https://offplancare.com/legal/privacy/. Certain health information may also be governed by the Medical Group’s Notice of Privacy Practices and applicable health-privacy laws.
The Medical Group operates as a covered entity under the federal health-privacy rules and maintains a Notice of Privacy Practices describing how it may use and disclose your health information. When OffPlan Network handles protected health information on behalf of the Medical Group or another covered entity, it does so in its capacity as a business associate under a written business associate agreement and applicable law, and only for the purposes that agreement permits.
These Terms are not an authorization for the use or disclosure of health information that otherwise requires separate permission. Nothing in these Terms expands the uses or disclosures permitted by the business associate agreement, the Notice of Privacy Practices, the Privacy Policy, or applicable law. If these Terms conflict with any of those, they control over these Terms as to health information.
12. User Content and Feedback
You retain ownership of information and materials you submit through the Platform (“User Content”). You grant OffPlan Network and its affiliates a non-exclusive, worldwide, royalty-free license to host, reproduce, transmit, display, and otherwise process User Content only as reasonably necessary to operate, secure, and support the Platform; fulfill your requests; comply with law; and perform services for the Medical Group, subject to applicable privacy obligations.
This license does not extend to protected health information or to other information about your health, care, or treatment. Use and disclosure of that information is governed exclusively by applicable health-privacy law, the Medical Group’s Notice of Privacy Practices, the Privacy Policy, and the business associate agreement between the Medical Group and OffPlan Network. We do not use identifiable health information for product development, commercial analytics, or the training of machine learning models. De-identified information may be used only to the extent those agreements and applicable law permit.
If you voluntarily provide suggestions or feedback that do not contain protected health information or other confidential personal information, you permit us to use them without restriction or compensation. Do not submit another person’s information unless you are authorized to do so.
13. Ownership of the Platform
The Platform, including its software, interfaces, visual elements, workflows, documentation, trademarks, logos, and content supplied by OffPlan Network, is owned by or licensed to OffPlan Network LLC and its affiliates and is protected by intellectual-property laws. Except for the limited right of use granted in these Terms, no right, title, or interest is transferred to you. “OffPlan” and associated names and marks may not be used without prior written permission.
14. Platform Availability and Changes
We may maintain, update, modify, suspend, or discontinue Platform features from time to time. We do not promise uninterrupted or error-free availability. We will use commercially reasonable efforts to support the Platform, but outages, maintenance, security events, telecommunications failures, and circumstances beyond our control may affect access.
A Platform interruption does not alter the Medical Group’s clinical obligations under the Membership Agreement. If the Platform is unavailable, use the alternative contact methods identified by the Medical Group for time-sensitive clinical or administrative needs.
15. Accessibility
We intend the Platform to be usable by people with disabilities and work toward conformance with recognized accessibility standards. If you encounter a barrier, or need assistance accessing any part of the Platform, your account, or your membership, contact us at support@offplancare.com or 888.650.2981. We will work with you to provide the information or function you need through an alternative method.
16. Mobile Applications
If we make a mobile application available, your use of it is also subject to the rules of the app store from which you obtained it. We grant you a limited, non-transferable license to install and use the application on a device you own or control, for personal, non-commercial use. Apple Inc. and Google LLC are not parties to these Terms, are not responsible for the application or its content, have no obligation to furnish support, and are not responsible for addressing any claim relating to the application. Apple and its subsidiaries are third-party beneficiaries of these Terms as they apply to an application obtained through the App Store and may enforce these Terms against you. You represent that you are not located in a country subject to a United States government embargo and are not listed on any United States government list of prohibited or restricted parties.
17. Suspension and Termination of Platform Access
You may stop using the Platform at any time. We may suspend or terminate Platform access if we reasonably believe you violated these Terms, created a security or safety risk, used the Platform unlawfully, or if suspension is necessary to protect users, the Medical Group, clinicians, OffPlan, or third parties.
Suspension or termination of Platform access is distinct from termination of the Medical Group membership. Any termination of clinical services or the membership must occur in accordance with the Membership Agreement and applicable law. Sections that by their nature should survive termination—including ownership, disclaimers, limitations, dispute provisions, and miscellaneous terms—will survive.
When your Platform access ends, we will close or disable your account and handle information associated with it as described in the Privacy Policy. Your medical record is created and maintained by the Medical Group, not by OffPlan Network, and is retained, released, and disposed of according to the Medical Group’s obligations under applicable state and federal law. Closing a Platform account does not delete your medical record. Requests for copies of, or amendments to, that record are handled by the Medical Group. We may retain information for the period required for legal, security, accounting, and audit purposes.
18. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” OFFPLAN NETWORK DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. OFFPLAN NETWORK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY DEVICE OR PURPOSE.
THESE DISCLAIMERS APPLY ONLY TO THE PLATFORM AND OFFPLAN NETWORK’S NON-CLINICAL SERVICES. THEY DO NOT DISCLAIM, REDUCE, OR LIMIT THE MEDICAL GROUP’S OR ANY CLINICIAN’S DUTIES, STANDARD OF CARE, OR LIABILITY FOR MEDICAL SERVICES, AND THEY DO NOT MODIFY YOUR RIGHTS UNDER THE MEMBERSHIP AGREEMENT.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
19. Limitation of OffPlan Network’s Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFPLAN NETWORK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO THE PLATFORM, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFPLAN NETWORK’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED ONE THOUSAND FIVE-HUNDRED U.S. DOLLARS ($1,500). BECAUSE MEMBERSHIP FEES ARE PAID TO THE MEDICAL GROUP AND NOT TO OFFPLAN NETWORK, THIS IS A FIXED AMOUNT AND IS NOT MEASURED BY WHAT YOU HAVE PAID.
This limitation does not apply where prohibited by law and does not limit liability that cannot lawfully be limited, including liability for OffPlan Network’s fraud, willful misconduct, or gross negligence where applicable, and including any liability under applicable consumer protection, data breach notification, or health-privacy statutes that do not permit limitation. It applies only to OffPlan Network’s Platform and non-clinical services. It does not apply to, or limit, the Medical Group’s or treating clinician’s responsibility for medical care.
20. Your Responsibility for Misuse
To the extent permitted by law, you agree to be responsible for third-party claims, damages, and reasonable costs arising directly from your unlawful use of the Platform, your material violation of these Terms, or content you submit in violation of another person’s rights. OffPlan Network will provide reasonable notice of a covered claim and allow you to participate in its defense. This section does not require you to indemnify any party for its own negligence, misconduct, violation of law, or provision of medical care.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except to the extent federal law applies. Any action arising solely from these Terms or the Platform must be brought in the state or federal courts located in Miami-Dade County, Florida, and each party consents to those courts’ jurisdiction and venue. Nothing in this section deprives you of the protection of any mandatory consumer protection provision of the law of the state in which you reside.
Before filing an action, you and OffPlan Network agree to attempt in good faith to resolve the dispute informally for at least 30 days after written notice is received at the contact addresses below. This section does not prevent either party from seeking emergency injunctive relief, reporting a concern to a regulator, pursuing an available small-claims action, or exercising rights that cannot lawfully be waived. Any applicable limitations period is tolled while the parties are engaged in this informal resolution process.
This section governs disputes with OffPlan Network about the Platform. Disputes concerning medical care, the DPC membership, or the Membership Agreement are governed by the Membership Agreement and applicable law.
22. Changes to These Terms
We may update these Terms to reflect changes in the Platform, law, security practices, or business operations. We will post the revised Terms and update the effective date. If a change materially affects your rights, we will provide reasonable notice through the Platform, email, or another appropriate method. Your continued use after the change becomes effective constitutes acceptance, except where law requires additional consent. Material changes will not retroactively alter a dispute that arose before the change’s effective date. A change to Section 21 (Governing Law and Dispute Resolution), or any change that would create a new or increased charge payable by you, will not take effect unless you affirmatively accept it.
23. Electronic Contracting
You consent to receive these Terms and Platform-related notices electronically. Your electronic acceptance has the same force as a handwritten signature. You may retain a copy by downloading or printing these Terms. You may withdraw consent to electronic communications by contacting us, but doing so may prevent continued use of some Platform features. Withdrawal does not affect the validity of communications previously provided electronically. To access and retain these Terms and electronic notices, you need a device with internet access, a current web browser, an active email account, and the ability to view and save PDF files. You may request a paper copy of these Terms at no charge by contacting us at the address below.
24. Miscellaneous
These Terms, together with policies expressly incorporated into them, constitute the entire agreement between you and OffPlan Network concerning the Platform. They do not replace or merge with the Membership Agreement. If a provision is unenforceable, it will be enforced to the maximum lawful extent, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, sale of assets, or transfer of the Platform, subject to applicable law. Headings are for convenience only.
